Braeburn Schools Limited has reached a deal to acquire Hillcrest Schools, in one of the first major acquisitions expected this year.

According to a letter dated January 20, 2022, all levels starting from kindergarten to secondary have been sold out.

“The Sale Transaction is subject to various conditions, including due diligence by Braeburn, negotiation of formal agreements, and the parties obtaining all regulatory approvals, including those from the Ministry of Education and the Competition Authority of Kenya,” the letter reads.

The sale transaction is expected to be complete by the beginning of the 2021/ 2022 academic year.

However, the letter clarifies that Braeburn intends to continue operating the Hillcrest Schools under the Hillcrest brand.

Terry Childs, Braeburn’s founder and now Group Chairman, expressed his happiness towards the addition of Hillcrest to the Braeburn Group.

Childs said Braeburn has a proud 42-year history of growing and improving schools.

“Students, parents, and staff can look forward to a smooth transition and a progressive world-class international school aimed at, not just our current children, but their children as well,” Childs said.

The transfer process is expected to involve consultations with key stakeholders.

The parties expect that there will be a smooth transition of the operation of Hillcrest Schools on completion of the Sale Transaction and there will be no disruption to the studies of all the Hillcrest students.

The Shareholders of Gems International Schools said Gems is very pleased to have found a successful educational group to take over the operation of Hillcrest schools as GEMS repositions its operations in East Africa.
