The Nairobi Hospital has announced plans to take legal and administrative action in response to what it terms a serious breach of its governance structures,.

This follows push and pull over the board's bona fide leadership.

In a statement issued on Friday, the hospital clarified that no change has occurred in the leadership of the Board of Management, and affirmed that all official records reflect the current Chairperson as Dr. Barcley Onyambu, duly elected by the Kenya Hospital Association (KHA).

The hospital disclosed that it has observed the circulation of “misleading claims and unofficial communications purporting to announce leadership changes and board resolutions”. These materials, the hospital said, are not recognised and do not originate from the proper channels of the institution.

“As a matter of institutional integrity, we are initiating legal and administrative action to address these governance breaches and protect the hospital’s reputation, stability, and future,” read the statement from the Corporate Affairs Office.

The Nairobi Hospital emphasised that board appointments and removals are governed strictly by the KHA Constitution, which requires a formal resolution passed in a duly convened board meeting, with a quorum and proper documentation.

“No such meeting has taken place,” the statement said. “Any communication suggesting a change in board leadership that is not issued through the Company Secretary’s office should be treated with caution.”

Speaking during a governance retreat in Naivasha, Dr. Barcley Onyambu reaffirmed his position as the legitimate Chair of the Board and stressed the need to defend due process within the institution.

“Good governance is a foundational pillar of any institution. When it is undermined by informal and unauthorised processes, we risk eroding public trust and exposing the hospital to unnecessary legal and financial risks,” he said.

According to the hospital, past governance lapses have already resulted in significant legal liabilities and financial exposure, with several ongoing disputes arising from decisions made without adherence to required procedures.

“These disruptions are diverting vital resources away from the hospital’s core mission of delivering high-quality healthcare,” the statement added.

The Nairobi Hospital recently concluded a three-day Corporate Governance Retreat with board members and external advisors to reinforce its commitment to ethical leadership, institutional renewal, and transparent decision-making.

As part of its response, the hospital is also preparing to submit formal requests to regulatory authorities to seek guidance and ensure the enforcement of governance standards moving forward.

Members of the public and the media are urged to verify any statements concerning hospital leadership through the official communication channels, particularly the Office of the Company Secretary.

The hospital reiterated its commitment to safeguarding its legacy as one of Kenya’s premier healthcare institutions, grounded in professionalism, accountability, and lawful governance.
